By agreeing to these terms of service, you agree to be bound by the Business Terms and Conditions, Referral Terms and Conditions, and Community Guidelines.

1. OUR SERVICES

This Terms of Service (the “Terms”) governs your rights and responsibilities related to YouApp’s services including all of our websites, domains, apps, products, services, features and marketing campaigns (the “Services”). This document may be updated at any time without notice.

When you register and verify your account to use our Services, you become a “User.” If you have chosen not to verify your user account, you may still be able to access certain aspects of or made available by our Services as a “Visitor.”

By accessing or using our Services, whether as a User or Visitor, you acknowledge and agree that you have read, understand, and agree to be bound by these Terms as a legally binding contract with YouApp (even if you are using the Services on behalf of a company or any other forms of organisation), so please take a moment to read these legally binding Terms.

Certain products, services, and content may from time to time be made available to you (“you” or “User”) by YouApp Pte Ltd or their affiliates (referred to herein as “us”, “we”, or “YouApp”) in connection with the website available at http://.youpapp.ai, YouApp’s network of websites and software applications, or other products or services offered by YouApp (the “YouApp Services”). 

By purchasing products, services, or content, including any purchases made as a gift to another user, through the YouApp Services that link to these Terms, you signify that you have read, understand, and agree to be bound by the Terms in effect at the time of purchase. Your purchases of Products and Services and your use of the YouApp Services are also governed by YouApp’s Terms.

If you are accepting these Terms and using the Services on behalf of a company, partnership, organization, or other legal entity, you represent and warrant that you are authorized to do so and that you have the authority to bind such entity to these Terms, in which case the words “you” and “your” as used in these Terms shall refer to such entity.

For the avoidance of doubt, the Terms, including its sub-sections for Indemnification, Disclaimers; Limitation of Liability, Governing Law, Dispute Resolution and Waiver also apply to your purchases of Products and Services and your use of those purchases on the YouApp Services.

The collection of your personal information is described in our Privacy Policy.

PLEASE READ THESE TERMS OF SERVICE AND THE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS, AND A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED.

2. MODIFICATIONS OF THESE TERMS OF SERVICE

Please review the terms and conditions concerning your use and access to our mobile application and website. By using or accessing our mobile application, website and any services, you agree to be bound by the following terms and conditions. If you do not agree with these terms and conditions, you are prohibited from using our services or accessing our site.

YouApp may change these Terms from time to time, on a prospective basis, and modify, add or discontinue any aspect, content or feature of the services, at its sole discretion. Your continued use or accessing of the services following the posting of any changes to the Terms constitutes your acceptance of such changes.

3. JOINING YOUAPP
  1. Eligibility. You may use our Services only if you agree with our terms of service, privacy policy and business terms and conditions; and you are compliant with these Terms and all applicable laws.
  2. Becoming a User. When you register and verify your identity to become a User, you must provide us with accurate and complete information. We reserve the right to reject and terminate any registrations submitted with false or inaccurate registration information, or otherwise submitted in violation of these Terms.
  3. Account Types and Access. Users may create, operate, maintain, or otherwise use an account on the Services (“Account(s)”) for personal and/or business use. You are responsible for maintaining the security of your Account login information and you must keep such login information confidential. You are responsible for all activity that takes place under your Account. You should notify us immediately if you suspect or become aware of any unauthorized use of or access to your Account.
  4. Permitted Activities. You may use, access, search, interact with, or otherwise make use of our Services only for the purposes for which they are provided and by the means we make available (such as our website, apps, and APIs), and in each case subject to any Supplemental Terms we provide governing their permitted uses.
4. RIGHTS YOU GRANT
  1. Some areas of the Services allow Users to post, publish, submit, upload, transmit, or otherwise make available on the Services content such as profile pictures or information, photos, images, videos, information, messages, and other content or information (“Content”) (any such Content that a User does make available or submit is referred to as “User Content”). You retain ownership of your User Content.
  2. License Grant to YouApp. You hereby grant to YouApp a non-exclusive, transferable, fully sublicensable (through multiple-tiers), royalty-free, and worldwide license, to host, use, distribute, modify, copy, publish, list information regarding, edit, translate, distribute, syndicate, publicly perform, publicly display, and make derivative works of your User Content. We will exercise our rights in the foregoing license subject to your Account settings, the selections you make when posting your User Content, and as otherwise described in our Privacy Policy. You represent and warrant that you are the creator and owner of your User Content, or that you have the necessary licenses, rights, consents and permissions to authorize YouApp to exercise the licenses granted by you in this section in the manner contemplated by these Terms.
  3. License Grant to Other Users. You also hereby grant each User of the Services a non-exclusive license to access your User Content through the Services and to use, reproduce, distribute, display, and perform such Member Content as permitted through the functionality of the Services and under these Terms.
  4. Feedback. We welcome you to share any feedback, suggestions, or ideas you have about YouApp and our Services with us (“Feedback”); You agree that in sharing your Feedback, you hereby grant YouApp an unrestricted, perpetual, irrevocable, non-exclusive, sublicensable, transferable, fully-paid, royalty-free right to use the Feedback as we see fit and in connection with any of our products and services now known or hereinafter developed.
  5. Software. Using YouApp may include downloading software to your computer, phone, tablet, or other device. We may require you to accept updates to our Services that you have installed on your computer or mobile device. You acknowledge and agree that we may automatically update that software, and the then-current version of these Terms will apply to any updates.
5. USER CODE OF CONDUCT
  1. Community Guidelines. At YouApp we believe that positive behaviour is the foundation of healthy communities. All of our Community Guidelines apply to Content submitted on YouApp, including submissions in the Private Messages. We may limit the distribution of or remove Content that we determine violates the Community Guidelines. We reserve the right to proactively moderate Content, although we expressly disclaim any obligation to do so, and we can remove Content, suspend, delete, or deactivate your Account, limit Account privileges, or otherwise refuse service to you, if you violate our Community Guidelines, these Terms, or our other policies, or if you infringe intellectual property, or otherwise engage in behaviour that we think may harm YouApp or the YouApp ecosystem.
  2. Prohibited Conduct. Without limiting other restrictions contained in these Terms, you agree that you will not, under any circumstances (i) gain or attempt to gain unauthorized access to any part of the Services, including the Accounts of other Users (such through the use of bots or other automations as well as the unauthorized use of legitimate User credentials); (ii) interfere with, disrupt, or damage our Services or attempt to do the same (such as by posting viruses, instigating a denial of service attack, or spamming Users); (iii) attempt to gain access to or tamper with non-public areas of the Services, our computer systems, and any technical delivery systems of our providers; (iv) attempt to prove, scan, or test the vulnerability of our systems, networks, or Services, or breach any security or authentication measure; (v) conduct facial recognition or other biometric analysis of the Content (as defined below) posted on YouApp; (vi) develop, support or use software, devices, scripts, robots or any other means or processes (including crawlers, browser plugins, and add-ons or any other technology) to scrape the Services or otherwise copy profiles and other data from the Services; or (vii) otherwise access or use the Services in an unlawful or unanticipated manner. For clarity, any attempt to engage in any of the behaviours listed in this section is also prohibited.
  3. Disputes Between Users; Waiver of Claims Against YouApp. In the real world and online, people sometimes disagree. If you have a dispute with another User, we hope that you will be able to work it out amicably. However, if you can’t, please understand that YouApp is not responsible for the actions of our Users. Each of our Users is solely responsible for their own actions and behaviour, whether they are using YouApp or chatting with another User over the back fence. Accordingly, you agree that YouApp has no responsibility for the conduct of Users or other third parties and, to the maximum extent permitted by applicable law, you hereby release the YouApp Entities from losses, liabilities, claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with disputes involving you and other Users. We reserve the right to revoke or limit a User’s access to these tools at any time, with or without notice, for any reason or no reason, including for a breach of these Terms or any relevant policies or guidelines.
6. PURCHASE QUALIFICATIONS AND ACCOUNT SECURITY

To make a purchase on the YouApp Services, you must be a registered YouApp Services user and comply with these Terms. You acknowledge that you are responsible for maintaining the security of, and restricting access to your account, and you agree to accept responsibility for all purchases and other activities that occur under your account. YouApp sells its Products and Services only to those users who can legally make purchases with a credit card. If you are of legal age, you may make purchases on the YouApp Services only with the permission of a parent or guardian. YouApp reserves the right to refuse or cancel orders or terminate accounts at any time in its sole discretion.

7. SUBSCRIPTION TERMS OF SERVICE

These Subscription Terms of Service (“Terms”) govern your subscription to and use of our services. By subscribing to our services, you agree to abide by these Terms. Please read them carefully. 

  1. Payment Terms – By subscribing to our service, you are agreeing to pay the subscription fees associated with the chosen plan, encompassing both our service and product offerings. The specific payment amount and frequency are clearly outlined in the selected subscription plan, providing flexibility for you to choose any plan available on our mobile application and website. Payments will be seamlessly processed on a recurring basis in alignment with the chosen billing cycle, whether it be monthly, annually, or another frequency of your preference. This process will be executed using the payment method provided during the subscription process, ensuring a convenient and hassle-free experience. To ensure the security and efficiency of the payment process, YouApp employs trusted third-party payment processors. These processors play a crucial role in securely facilitating the purchase of You+ premium service and any other services and products available through our platform. It’s essential to note that failure to make timely payments may result in the suspension or termination of your subscription, emphasizing the importance of adherence to the outlined payment terms.
  2. Billing Cycle – The subscription fee for the YouApp service, along with any additional charges associated with your use of the service, such as taxes and potential transaction fees, will be charged to your designated payment method. The duration of your billing cycle is contingent upon the selected subscription plan, with the specifics communicated clearly during the subscription process. Whether it’s a monthly, annual, or alternative billing cycle, you will receive explicit information to guide your choice. In the event that a payment fails to be processed successfully, whether due to expiration, insufficient funds, or other reasons, and you refrain from canceling your account, it becomes imperative to furnish new payment information. Failure to do so will result in the cancellation of your subscription to the product and service on YouApp. If you provide new payment details and a successful charge is executed, the new subscription period will be anchored to the original renewal date rather than the date of the successful charge. By clicking the “subscribe” button, you are authorizing recurring payments, be it monthly or annually, which will be diligently processed by YouApp through the designated payment method until the subscription is terminated, either by you or YouApp.
  3. Payment Method –You hold the responsibility for maintaining accurate and up-to-date payment information. The subscription payment will be processed using the designated payment method available on our platform. It is mandatory to provide one or more payment methods. By doing so, you grant us the authority to charge any payment method associated with your account, particularly in instances where your primary payment method is declined or no longer accessible for the payment of your subscription fee. It’s essential to be aware that certain payment methods may incur additional fees imposed by the issuer, such as foreign transaction fees or other charges related to the processing of your payment method. The exact local tax charges may also vary depending on the payment method employed. For comprehensive details, we recommend checking with your Payment Method service provider. Ensuring the accuracy of your payment information and understanding the potential associated fees contribute to a seamless and uninterrupted subscription experience.
  4. Cancelation – You have the flexibility to cancel your subscription at any time, ensuring continued access to our You+ premium service and any other product or service within YouApp until the conclusion of your current billing period. The cancellation process is streamlined through the app, where you can easily follow the provided instructions. For a detailed overview of when your premium service will cease, refer to the “Account” page within your app. This straightforward approach empowers you with control over your subscription, offering a hassle-free experience tailored to your preferences.
  5. Non-Refundable Fee – In adherence to applicable law, payments are considered non-refundable, and we do not offer refunds or credits for any partial membership periods, unused You+ premium content, or any other available service and product. Following the expiration of your subscription, access to all features associated with You+, along with any services and products linked to the subscription plan, will be discontinued. In the event of technical issues or defects within our services, we are committed to making reasonable efforts for prompt resolution. However, it’s important to note that addressing such issues does not automatically guarantee a refund. Refunds will not be granted for dissatisfaction with content, features, or any other subjective aspects of the subscription service. Non-compliance with the YouApp Terms of Service may lead to temporary or permanent bans from YouApp or specific services. In such instances, you may forfeit the benefits of your chosen subscription plan, and we will not provide compensation for any resulting losses. This underscores the importance of adherence to our terms for a seamless and satisfactory user experience.
  6. Change in Price and Subscription Plan – We retain the flexibility to alter our subscription plans and service prices periodically. This includes the right to modify these terms and associated fees relevant to your subscription updates. Such adjustments may be prompted by factors like alterations to our business model, introduction of new product offerings, or changes in economic conditions. In the event of any modifications, whether in subscription plans or pricing, they will not come into effect earlier than 30 days from the date of notification. We prioritize transparency and provide prior notice to inform you of any upcoming price changes or alterations to your subscription service. Should you choose not to accept these changes, you have the option to cancel your subscription before the adjustments take effect. This approach ensures that you have ample time and information to make decisions aligned with your preferences.

By subscribing to our services, you acknowledge that you have read, understood, and agree to abide by these Subscription Terms of Use. If you do not agree with any part of these Terms, please do not subscribe to our services.

8. EU, EEA, UK & CH WARRANTY RIGHTS

For residents of the European Union or the European Economic Area, the United Kingdom, or Switzerland who are acting as a Consumer, there are warranty rights under applicable law in case of any non-conformity of digital content and services. Such rights shall remain unaffected by these Terms. In such a case, YouApp offers no further implied or statutory warranties or conditions with regard to digital content and services, and explicitly disclaims all implied warranties and conditions to the maximum extent permitted by applicable law.

You acknowledge that we may change the content and character of active Subscription Services from time to time without causing its non-conformity, including when needed to comply with applicable law or regulation, or for justified commercial, security, or operational reasons, and including to make any improvements to your access to the YouApp Services.

9. TAXES

You are responsible for any applicable taxes, value added taxes (“VAT”) or similar taxes or fees payable in connection with your purchase of any products, services, or content for yourself or as a gift. As the purchaser of a subscription or digital goods for another party as a gift, taxes, or other fees on that transaction will be calculated based on your country of residence. If you do not pay such sales or other tax or fee on a transaction, you will be responsible for such taxes or fees in the event that they are later determined to be payable on such sale, and YouApp reserves the right to collect such taxes or other fees from you at any time.

10. NOTIFICATION PREFERENCES
  1. Notifications – By default, you will receive notifications from YouApp related to your use of and interactions with the Services within the Services, to the email address or mobile number or YouApp’s Chat feature to which your Account is linked, and on your device or browser. We have plans to include features that allow you to opt in/out to other kinds of notifications and it will be released in due time.

  2. Invitations – You can use our Services to send individuals who are not Users invitations, such as by email, or text message, to register for the Services (“Invitations”). You acknowledge that these Invitations, which we may help to facilitate through our Services, are sent by you and not by YouApp and Invitations sent by post mail are sent by YouApp on your behalf. Such Invitations may identify you as the person inviting the user and may include details about you or your User Content. For example, you may invite your friends to YouApp by requesting to have us send to them an Invitation, which may include your name and the fact that you are a user on the app. You acknowledge that certain third-party fees, such as those from your mobile carrier or Internet service provider, may apply to the use and operation of your device in connection with your sending an Invitation and that you are solely responsible for any such third-party fees.

  3. Text Messages – YouApp provides a text message service that provides users with notifications relevant to their Account, or other Services, such as urgent alerts. YouApp does not charge for our text notifications, but your carrier may charge you for such messages. Text notifications may not be delivered if your phone is not in range of a transmission site, or if sufficient network capacity is not available at a particular time. Further, factors beyond the control of the user’s wireless carrier or wireless internet provider may interfere with message delivery, including equipment, terrain, proximity to buildings, foliage, and weather. You acknowledge that notifications may not be timely received and that neither YouApp nor your wireless carrier guarantees that text notifications will be delivered. These notifications are not intended to replace any primary phone service, such as a traditional landline or mobile phone that may be used to contact emergency services. You acknowledge and agree that YouApp is not liable, and you shall not seek to hold YouApp liable, for any damages related to your use of the text notification service.

11. PROMOTIONS

Any sweepstakes, contests, raffles, games or similar (collectively, “Promotions”) made available through and as part of the Services may have additional terms and conditions. If you participate in any Promotions, please carefully review any Promotion-specific rules as well as our Privacy Policy. If and to the extent those rules conflict with these Terms or the Privacy Policy, the applicable Promotion rules will govern.

12. THIRD-PARTY SITES AND SERVICES

Our Services may contain links to third-party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by YouApp. We don’t endorse or assume any responsibility for any such third-party websites, information, materials, products, or services. If you access any third-party website, advertisement, service, or other Content from YouApp, you do so at your own risk. YouApp may not warn you that you are leaving the Services and are subject to the terms and conditions of another website or domain, which is not under the control of YouApp. You agree that YouApp has no liability arising from your use of or access to any third-party website, service, or Content.

13. INTELLECTUAL PROPERTY RIGHTS

We, or our licensors (as the case may be), own all Intellectual Property Rights in our content on/ used in relation to the Platform. You can only use our Intellectual Property Rights for the specific purpose of using the Platform. You acknowledge that the Platform, our services and content are protected by copyright, trademark, and other applicable laws. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Platform, our services or content. These Terms do not convey any proprietary interest in or to our Intellectual Property Rights.

14. RELIANCE ON THE INFORMATION PRESENTED

The information presented through our app including self discovery content services is provided for general informational purposes only. While we strive to ensure the accuracy and reliability of this information, we do not guarantee its completeness or suitability for any particular purpose. Users are encouraged to use this content as a means of self-exploration and entertainment, recognizing that it does not constitute professional evaluation or provide value judgments about themselves. Additionally, the content does not offer practical guidance and should not be relied upon as such.

Users acknowledge that the content provided in the app is for personal exploration and entertainment purposes only. YouApp Pte Ltd and it’s subsidiaries/partners does not assume any responsibility or liability for any decisions made or actions taken based on the information provided in the app. Users should exercise their own judgement and seek professional advice if needed. It is important to understand that the content is subject to change and should be interpreted with discretion. By using the app, users agree to indemnify and hold YouApp Pte Ltd harmless from any claims, damages, or losses resulting from reliance on the information presented.

15. PROHIBITED CONTENTS

We may offer additional Services and product features, or add, change, or discontinue our existing Services and product features at any time and in any region, with or without notice to you. If you are dissatisfied, your sole remedy is to stop using our Services or the affected feature.

16. PROHIBITED CONTENTS

YouApp strives to offer a platform of inclusiveness while building a diversified community where people can create and share, discover the world, and connect with others in a supportive and safe environment. We are committed to maintaining it that way where YouApp prohibits a non-exhaustive list of the following types of content:

  1. Pornographic – We strive to create a platform that is welcoming and safe. We do not allow nudity, pornography, or sexually explicit content on our platform. We also prohibit content depicting or supporting non-consensual sexual acts, the sharing of non-consensual intimate imagery, and adult sexual solicitation.

  2. Harm or sexualization of children – We will take action on any content or accounts involving CSAM or sexual exploitation of a minor. Sexual exploitation of minors includes any abuse of a position of power or trust for sexual purposes, including profiting financially, socially, sexually, or politically from the exploitation of a minor. CSAM is defined as any visual depiction of sexually explicit nudity or conduct of a minor, whether captured by predatory adults, peers, or self-generated by minors. Besides, contents that display behaviour that place minors at risk of physical or psychological harm include physical abuse, neglect, child endangerment, and psychological disparagement will also be removed.
  3. Obscene, offensive, dangerous, violent, hateful, discriminatory, abusive, intolerant or exploitative – We consider incitement to violence as advocating for, directing, or encouraging other people to commit violence. We do not allow threats of violence or incitement to violence on our platform that may result in serious physical harm. YouApp is a diverse and inclusive community that has no tolerance for discrimination. We do not permit content that contains hate speech or involves hateful behavior, and we remove it from our platform. An extension to the above, we believe in an inclusive community and individual expression without fear of abuse. We do not tolerate members of our community being shamed, bullied, or harassed. Abusive content or behavior can cause severe psychological distress and will be removed from our platform.
  4. Frauds or scams – We do not permit anyone to exploit our platform to take advantage of the trust of users and bring about financial or personal harm. We remove content that deceives people in order to gain an unlawful financial or personal advantage, including schemes to defraud individuals or steal assets.
  5. Illegal products and services – We work to ensure YouApp does not enable activities that violate laws or regulations. We prohibit the trade, sale, promotion, and use of certain regulated products, as well as the promotion or facilitation of criminal activities, including human exploitation. Content may be removed if it relates to activities or products that are regulated or illegal in the majority of the region or world.

  6. Malicious software – We prohibit creation or introduction of malicious softwares or modify code in attempt to manipulate the platform to increase interaction metrics such as to artificially increase views, likes, followers, shares, or comments.
  7. Misinformation, misrepresentation, misleading claims – Misinformation is defined as content that is inaccurate or false. We will remove misinformation that causes significant harm to individuals, our community, or the larger public regardless of intent which includes serious physical injury, illness, or death; severe psychological trauma; large-scale property damage, and the undermining of public trust in civic institutions and processes such as governments, elections, and scientific bodies. This does not include simply inaccurate information, myths, or commercial or reputational harm.
  8. Weapons, ammunition, explosives – We do not allow the depiction, promotion, or trade of firearms, ammunition, firearm accessories, or explosive weapons. We also prohibit instructions on how to manufacture those weapons. We may allow depiction when appearing in educational contexts (e.g., as part of a museum’s collection), involving authorized government personnel (e.g., a police officer) or used in a safe and controlled environment (e.g., shooting range, recreational hunting).
  9. Drugs and drugs related content – We do not allow the depiction, promotion, or trade of drugs or other controlled substances. The trade of tobacco and alcohol products is also prohibited on the platform.
17. INDEMNIFICATION

You agree to defend, indemnify, and hold YouApp and our affiliates, related companies, officers, directors, employees, agents, representatives, partners, and licensors (the “YouApp Entities”) harmless from any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney’s fees and costs, made by any third party due to or arising out of any and all of the following (a) your use of the Services; (b) your violation of these Terms; (c) your violation of applicable laws or regulations; (d) your violation of any rights of another party, including any Users; (e) your interactions and transactions with other Users; or (f) your User Content. We reserve the right to control the defence of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of these claims and to not settle any claim without our prior written consent. You agree that the provisions of this section will survive any termination of your Account(s), the Terms, and/or your access to the Services.

18. DISCLAIMERS; LIMITATION OF LIABILITY
  1. Disclaimers; no warranties. You understand and agree that to the maximum extent permitted by applicable law your access to and use of the services or any content are at your own risk. Our services are provided to you on an “as is” and “as available” basis, with all faults. Without limiting the foregoing and to the maximum extent permitted by applicable law, the YouApp Entities expressly disclaim all warranties, representations, and conditions of any kind, whether express or implied, including but not limited to the implied warranties or conditions of merchantability, fitness for a particular purpose, and non-infringement.YouApp makes no warranty or representation and disclaim all responsibility and liability for (i) the completeness, accuracy, availability, timeliness, security, or reliability of the Services; (ii) any harm to computer systems, loss of data, or other harm that results from access to or use of the Services; (iii) the deletion of, or the failure to store or to transmit, any Content and other communications maintained by the Services; (iv) viruses or other harmful components distributed by the Services; and (v) whether the Services will meet requirements or be available on an uninterrupted, secure, or error-free basis.We can’t guarantee continuous or secure access to the Services, and operation of the Services may be interfered with by numerous factors outside of our control. No advice or information, whether oral or written, obtained from the YouApp Entities or through the Services will create any warranty not expressly made herein.
  2. Liability limits. In no event shall either Party be liable for indirect, incidental, special, punitive or consequential damages, including loss of use, loss of profits or interruption of business, however caused or on any theory of liability. YouApp’s liability to Merchant for any and all losses arising out of or in connection with these Terms and Conditions shall in no event exceed the fees received by YouApp from Merchant in the three (3) months prior to the event giving rise to such liability.

  3. No liability for conduct of other users. You are solely responsible for all of your communications and interactions with the users of the services. You understand that YouApp does not make any attempt to verify the statements of the users of the services. 19. GOVERNING LAW

These Terms of Use and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of the Republic of Singapore.

20. DISPUTE RESOLUTION

If a dispute arises between you and YouApp, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, if you have a dispute with YouApp, you agree to contact us and try to resolve the dispute informally before pursuing other avenues.

21. WAIVER

No failure or delay by a party to exercise any right or remedy provided under these Terms or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.

22. SEVERABILITY

If any provision or part-provision of these Terms of Use is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed annulled. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of these Terms.

23. ENTIRE AGREEMENT

Unless explicitly agreed between parties in writing, these Terms of Use constitute the entire agreement between the parties and supersedes all previous discussions, correspondence, negotiations, arrangements, understandings and agreements between them relating to its subject matter.

24. THIRD PARTY RIGHTS

No one other than a party to these Terms, their successors and permitted assignees, shall have any right to enforce any of its Terms.

25. TERMS AND TERMINATIONS
  1. Term. The Terms commence on the date when you accept them (as described in the preamble above) and remain in full force and effect for as long as you access or use the Services, unless terminated earlier in accordance with the Terms.
  2. Termination by You. You may terminate these Terms with YouApp at any time by deactivating your Account(s) and discontinuing your use of the Services.

  3. Termination by YouApp. We may suspend, terminate, delete, or deactivate your Account(s) or stop providing you with all or part of the Services at any time for any or no reason, with or without notice, without liability to you.

  4. Updates. We reserve the right to amend these Terms and any Supplemental Terms at any time. We will notify you of any material changes as legally required. Such changes to the Terms and Supplemental Terms shall be effective immediately for new Users. Changes to applicable policies and guidelines are effective immediately for new Visitors unless otherwise stated. If you keep using YouApp after a change to Terms or any applicable Supplemental Terms is effective, you accept and agree to be bound by the new terms; if you disagree with the new terms, you must stop using the Services and delete your Account(s).

  5. Insolvent. If a Merchant files a petition for bankruptcy, becomes insolvent, or makes any arrangement or composition with or assignment for the benefits of its creditors, or a receiver is appointed for the Merchant or its business, or a Merchant goes into liquidation either voluntarily (otherwise than for reconstruction or merger) or compulsorily.

  6. Notices. Notice to YouApp under these Terms must be in writing and sent to YouApp using the relevant contact information set out in the introductory paragraph above. Notices will be deemed given upon personal delivery, upon delivery if by mail, or upon valid transmission through email or YouApp Chat or SMS or mobile instant messaging.
